Board of Directors and Committee Members

Lifetrack is a community-based human services provider dedicated to providing employment, rehabilitation and early childhood services to people in poverty and people with physical and mental health disabilities. Based in St. Paul, Lifetrack annually serves over 11,000 adults and children across its three primary service areas. Additional information on Lifetrack is available at www.lifetrack-mn.org.

Lifetrack's Board of Directors is comprised of 14 -18 individuals who represent a cross section of our community and bring valuable expertise, perspectives and experiences to the board.

Board composition is reviewed regularly by the Board Development Committee to identify priorities for recruitment of board members.

The Board of Directors meets approximately 6 times per year. The Board operates through 5 committees which each focus on important aspects of governance and oversight. Directors are invited to serve on at least 1 committee. Committees meeting requirements average between 4-6 meetings per year. To assist our directors with planning, a 12 month calendar is established prior to the start of each new year.

Lifetrack's board directors are chosen with care for their ability to participate constructively in the process of governing.

Nominations: Nominations and recommendations for qualified board members are welcome at any time and open to any individual who may wish to submit a prospective member's name and reason for the recommendation. Nominations and recommendations can be directed to the President or Board Chair. The list of nominations and recommendations are compiled and maintained by the President for review by the Board Development Committee as vacancies occur.

Skills:

  • Board of Directors: a. Understand and accept the Board's approach to governance. b. Join assertively in the debate of Board-level issues, with no fear to dissent. c. Commit time to training (including participation in appropriate annual training in accordance with Minnesota statutes), external functions, participation in committee or task force work, and fund raising. d. Stand behind policies of the Board regardless of personal stands taken prior to the vote and to support the Chief Executive Officer when s/he has acted in compliance with Board policies. e. Provide a charitable contribution to the Corporation in an amount that is completely at the discretion of the individual Director. f. Attend a majority of regular Board meetings and committee meetings, as assigned.

Requirements:

The Board of Directors is accountable to the public and to the law for all operations of Lifetrack. The Board is responsible for defining the purpose of the organization, setting limitations about how the purpose is accomplished and assessing the organization's effectiveness. The Board is committed to providing effective leadership and stability to ensure the achievement of Lifetrack mission.

The Board adheres to a code of ethics which includes the avoidance of conflicts of interests.

Board members shall be independent of (e.g., not involved in a current business relationship with), and unrelated to, the Chief Executive Officer or any other key staff member of the Corporation. No person shall be a member the Board while a paid employee and no member receives a salary for serving in this position. .

Terms: Member terms may be for up to 3 years with eligibility for re-appointment for up to 3 consecutive terms.
